Holcim says takeover offer of Aggregate Industries declared unconditional

Holcim Ltd  said all of the conditions set for its takeover of all the ordinary share capital of Aggregate Industries PLC have been either satisfied or waived.

Therefore the offer is now unconditional and will remain open until further notice, the Swiss cement maker said.

So far, Holcim UK has acquired or received valid acceptances of the offer in respect to 80.6 pct of the company's ordinary share capital, representing a total of 1,042,108,358 shares.

Based on Aggregate Industries full year 2004 result, successful completion of the offer will allow Holcim to expand its consolidated sales by around 3.6 bln sfr or just under 30 pct, the company said.（中国水泥网  转载请注明出处）
